Notice of 2026 Annual General Meeting

 

Notice is hereby given that the Annual General Meeting of Voluntary Assisted Dying Australia and New Zealand Limited (VADANZ) will be held as follows:

Date:               Sunday, 18 October 2026
Time:              2.30pm (AEDT)
Location:       Room 1.3 Carson Conference Centre (535 Elizabeth Street Melbourne) and virtually via Zoom

Business of the meeting

The business of the Annual General Meeting will include:

  1. Welcome and confirmation of quorum
  2. Confirmation of the minutes of the previous Annual General Meeting
  3. President’s Report
  4. President-Elect’s Report
  5. Consideration of proposed amendments to the VADANZ
  6. Constitution by special resolution
  7. Election of Member Elected Directors
  8. Other business permitted to be considered at the Annual General Meeting

Proposed special resolutions

Members will be asked to consider special resolutions to amend the VADANZ Constitution.

The full wording of the proposed special resolutions and explanatory information accompanying them are provided with this Notice.

For a special resolution to be passed, at least 75% of the votes cast by members present and entitled to vote on the resolution must be in favour.

Election of directors

Nominations are invited for the Member Elected Director positions to be filled at the Annual General Meeting.

Appointment of Proxy

A member who is unable to attend the AGM may appoint a proxy to attend, speak and vote on their behalf.

Under the VADANZ Constitution:

  • the person appointed as proxy must be a VADANZ member
  • the appointment must be made using a proxy form that identifies the member, their proxy and the meeting for which the appointment applies;
  • a member may direct their proxy how to vote on particular resolutions; and
  • the completed proxy form must be received by VADANZ at least 48 hours before the AGM.

Members appointing a proxy are encouraged to provide voting directions on the proxy form for the resolutions to be considered at the AGM.

Members will have a reasonable opportunity at the AGM to ask questions and make comments about the management, activities and finances of VADANZ.
